A non-participating liquidation preference means investors get their original investment back (or a multiple of it) before common shareholders—but don't share in any remaining proceeds. In contrast, a participating liquidation preference gives investors their initial investment back plus a share of the remaining proceeds as if they also held common stock. This often results in better outcomes for investors, but can significantly reduce returns for founders and employees.
